Terms of Purchase

1. Agreement

These Terms are a binding agreement between you and BlackShel LLC ("BlackShel", "we", "us"), a limited liability company organized under the laws of the State of [state of formation], United States. By purchasing or downloading anything from this site you accept these Terms. If you do not accept them, do not purchase.

You must be at least 18 years old, or the age of majority where you live, to buy.

2. What you are buying

BlackShel sells digital products delivered electronically. Nothing physical is shipped. The Manual is a course delivered as a downloadable folder of plain markdown files, intended to be opened in Obsidian (a free third-party application) and readable in any text editor. The Machine includes everything in The Manual plus source files for the landing page, checkout, delivery system and email sequence this site runs on.

Access is granted to the email address used at checkout. Your download link does not expire and always serves the current version.

3. License

On payment, BlackShel grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the files for your own business.

You may use the method, templates, prompts and code to build and sell your own products, on your own subjects, under your own brand, and you keep everything you earn from them. That is the purpose of the product.

4. Restrictions

You may not resell, redistribute, share, sublicense, lease, upload to a public repository, or republish the BlackShel files themselves, in whole or in part, modified or unmodified. You may not remove proprietary notices, or use the files to create a product that competes with BlackShel by teaching or supplying the BlackShel materials.

One purchase is one license for one person. We may revoke this license for breach of these Terms.

5. Price, payment and tax

Prices are shown in US dollars. Payment is processed by our third-party checkout provider, which acts as merchant of record and is responsible for collecting and remitting any sales tax, VAT or GST that applies where you are. Your card details are handled entirely by that provider and never reach BlackShel.

Introductory or founder pricing, where offered, applies until the stated number of purchases is reached, after which the stated regular price applies.

6. The 14-day action-based guarantee

You may request a full refund within 14 days of purchase. The guarantee covers whether the system worked when it was used, so a request must show that it was used. Email support@blackshel.com within 14 days with:

  1. A screenshot of your finished course, opened in Obsidian or another editor.
  2. A link to your offer page, live and reachable.
  3. Links to ten short videos posted since your purchase.

Requests including all three are refunded in full. We do not evaluate the quality of the work — only that it exists. Refunds are issued to the original payment method through our checkout provider. On refund, the license in Section 3 terminates and download access is withdrawn automatically.

This guarantee is offered in addition to, and does not limit, any rights you have under applicable law.

7. No earnings claims

BlackShel does not guarantee that you will earn any money.

BlackShel provides educational and informational material only. Any figures, screenshots or results shown on this site describe the specific experience of this business and are not typical, not average, and not a promise, projection or guarantee of what you will earn.

Your results depend on your subject, your market, your effort, your consistency and factors outside anyone's control. Most people who buy educational products of any kind do not earn money from them. Building an audience takes months of sustained work, and that work is not optional or automated.

8. Disclaimer of warranties

The products are provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law, BlackShel disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the products will meet your requirements, that they will be error-free, or that any third-party service they rely on will remain available or unchanged.

9. Limitation of liability

To the fullest extent permitted by law, BlackShel's total liability arising out of or relating to these Terms or the products is limited to the amount you actually paid for the product giving rise to the claim.

BlackShel is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunity or business interruption, whether or not we were advised of the possibility.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply only to the extent permitted, and nothing here limits liability that cannot lawfully be limited.

10. Indemnification

You agree to indemnify and hold harmless BlackShel LLC, its members, officers and agents from any claim, demand, loss or expense, including reasonable attorneys' fees, arising out of your use of the products, your breach of these Terms, or any product you create, market or sell using them — including any claim relating to your own customers, your own earnings claims, or your own compliance obligations.

11. Your own obligations

If you use these materials to sell your own product, you are solely responsible for your own business — your marketing claims, your refund policy, your tax registration, your privacy notices and your compliance with the advertising laws where you operate. In the United States that includes the Federal Trade Commission's rules on endorsements, testimonials and earnings claims. BlackShel supplies tools, not legal cover.

12. Chargebacks

If something is wrong, email us. We answer every message, and we would rather fix or refund it than have you dispute it with your bank.

Initiating a chargeback or payment dispute without first contacting us is a breach of these Terms. Where a purchase is charged back or disputed, the license terminates and download access is withdrawn.

13. Availability

We aim to keep delivery and downloads working at all times, but this is software that depends on services we do not own. We do not guarantee uninterrupted availability. If delivery fails, email us and we will send your files manually.

14. Dispute resolution

If a dispute arises, contact us first at support@blackshel.com. Most things are resolved in one email. If a dispute is not resolved within 30 days, either party may pursue it in the courts identified in Section 15.

15. Governing law and venue

These Terms are governed by the laws of the State of [state of formation], United States, without regard to its conflict-of-law provisions. You and BlackShel consent to the exclusive jurisdiction and venue of the state and federal courts located in [county and state].

If you are a consumer resident in a jurisdiction whose law grants you rights that cannot be waived by contract, nothing in this section deprives you of those rights or of the protection of the mandatory provisions of your local law.

16. Changes to these Terms

We may update these Terms. The version governing your purchase is the version published on the date of that purchase. Material changes will be reflected in the date at the top of this page.

17. General

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a sale or transfer of the business. These Terms, together with the Privacy Policy, are the entire agreement between you and BlackShel regarding the products.
